Parties:
This Agreement governs your access to and use of the IntRest online platform, including the dashboard at app.intrest.ca, any associated APIs, and services provided by IntRest that enable Merchants to create, display, and manage nutritional labels, dietary labels, allergen labels and health labels for food products.
2.1 Eligibility: You must be at least 18 years old and have the authority to enter into this Agreement on behalf of the business you represent.
2.2 Account Creation: You agree to provide accurate and complete information when creating an account. You are responsible for keeping your login credentials secure and for any activity under your account.
2.3 POS Connection: You may connect your Point of Sale (POS) system to IntRest or upload information about your food or food products directly. You authorize IntRest to collect and process data from your POS or uploads to provide services.
3.1 Ingredient Extraction and Editing: IntRest automatically extracts ingredients and cooking styles from your POS data or uploads. You may edit, add, or remove ingredients and adjust amounts at any time.
3.2 Nutrient Calculation and Regulation Selection: You may select specific regulation datasets (e.g., USDA, Canadian Nutrient File (CNF), etc.) for nutrient calculations. IntRest will compute nutritional values and update labels based on your selections and edits.
3.3 Labels Provided: IntRest provides nutrition labels, diet labels, allergen labels, and health labels based on the ingredients and selected regulation guidelines. When you change ingredients or preparation methods, the labels will update automatically.
4.1 Accuracy of Data: You are responsible for ensuring that the data you upload or connect through your POS—such as ingredient names, quantities, and cooking styles—is accurate and complete. The correctness of the resulting labels depends on the correctness of these inputs.
4.2 Compliance: IntRest uses industry‑standard food composition tables (e.g., USDA, CNF) to calculate nutrient values and generate labels according to the regulation dataset you select. IntRest strives to align its calculations with relevant regulations (e.g., SFDA, GSO), but it does not guarantee regulatory compliance. It is your responsibility to confirm that your final product labeling meets all applicable legal and regulatory requirements.
5.1 Service Fees: IntRest may charge subscription or usage fees for access to certain features. Fee details will be presented on our website or otherwise communicated to you. By using fee-based services, you agree to pay the applicable fees.
5.2 Payment Method: You must provide a valid payment method. You authorize IntRest to charge your payment method for all incurred fees.
5.3 Late Payments: Failure to pay fees when due may result in suspension or termination of your access to the Services.
6.1 IntRest Materials: All intellectual property rights in the platform, including software, documentation, and any data generated by IntRest (except for your Merchant Data), belong exclusively to IntRest and its licensors.
6.2 Merchant Data: You retain all rights to data you provide or upload, including ingredient lists and recipes. You grant IntRest a limited license to use such data solely for providing the Services.
6.3 Feedback: If you provide feedback or suggestions to IntRest, we may use it without obligation to you.
7.1 Definition: “Confidential Information” means any non-public information disclosed by either party that is designated as confidential or would reasonably be understood to be confidential.
7.2 Protection: Each party agrees to protect the other party’s Confidential Information and not to disclose it to third parties, except as required by law or with the other party’s consent.
8.1 Disclaimer: INTREST PROVIDES THE SERVICES “AS IS” AND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8.2 No Guarantee of Compliance: While IntRest uses recognized food composition tables and strives to align calculations with applicable regulations, the platform does not guarantee that labels are fully compliant. You must verify your labels’ compliance with applicable laws and regulations.
9.1 Limitations: TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTREST WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, BUSINESS INTERRUPTION, OR DATA LOSS, ARISING OUT OF OR RELATED TO THE SERVICES OR THIS AGREEMENT.
9.2 Cap on Liability: INTREST’S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU PAID INTREST IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
10.1 Term: This Agreement begins on the Effective Date and continues until terminated by either party.
10.2 Termination for Convenience: Either party may terminate this Agreement at any time upon notice.
10.3 Termination for Cause: IntRest may suspend or terminate your access to the Services if you materially breach this Agreement.
10.4 Effect of Termination: Upon termination, your right to use the Services ends, but Sections 6–9 will survive.
11.1 Governing Law: This Agreement is governed by the laws of [Your Jurisdiction], without regard to its conflict-of-laws principles.
11.2 Entire Agreement: This Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes any prior agreements or understandings.
11.3 Amendments: IntRest may update this Agreement from time to time. Continued use of the Services after an update constitutes acceptance.
11.4 Severability: If any provision of this Agreement is held invalid, the remaining provisions will remain in effect.
11.5 Assignment: You may not assign this Agreement without IntRest’s prior written consent. IntRest may assign this Agreement to an affiliate or in connection with a merger or sale of assets.
11.6 Notices: All notices must be in writing and will be deemed delivered upon receipt at the contact information provided by each party.
